Terms of Service

These Terms of Service (the "Terms") govern your use of Smart Notes ("Smart Notes," "we," "our," or "us"), an Anki extension and accompanying web service that uses artificial intelligence to generate flashcard content. Smart Notes is operated by Rosebud Labs, LLC, a Delaware limited liability company, and these Terms are a binding agreement between you and Rosebud Labs, LLC.

By creating an account, clicking "I agree," or otherwise accessing or using Smart Notes, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Smart Notes.

In these Terms, "Service" means, collectively, our website, the Smart Notes Anki plugin (the "Plugin"), our backend servers and API (the "Backend"), and any related services we make available.

1. Eligibility

You must be at least 13 years old to use Smart Notes. If you are between 13 and 17, you represent that your parent or legal guardian has reviewed these Terms and agreed to them on your behalf. You may not use Smart Notes if you are barred from doing so under applicable law, or if we have previously terminated your account.

2. Accounts

To use most features of Smart Notes, you must create an account. You agree to provide accurate information, keep your login credentials confidential, not share your account with anyone else, and notify us promptly at support@smart-notes.xyz of any unauthorized use. You are responsible for all activity that occurs under your account. We may suspend or terminate your account if you violate these Terms.

3. The Service

Smart Notes accepts card fields and prompts you submit and uses third-party AI models to generate text, text-to-speech audio, and images for use in your Anki decks. The Service requires an active subscription or free trial.

We may, at any time and without liability to you, add, change, or remove features; suspend or discontinue any part of the Service; change which third-party AI providers we use; or impose or change usage limits, quotas, and fair-use policies. Where practical, we will provide advance notice of material changes that adversely affect paying subscribers.

4. Subscriptions, Trials, and Billing

Plans and pricing

Current plans and pricing are shown on our pricing page. Subscriptions are billed monthly in advance and renew automatically each month until cancelled. All prices are in U.S. dollars.

Free trial

We may offer a free trial to new users. The trial does not require a credit card and ends automatically at the end of the trial period; we do not automatically convert trials into paid subscriptions. We may modify, suspend, or discontinue the trial program at any time and may restrict eligibility (for example, to one trial per person).

Payment

Payments are processed by Stripe, Inc. You authorize us, through Stripe, to charge your payment method on each renewal date. If a charge fails, your access to paid features may be suspended immediately; there is no grace period.

Taxes

Stripe collects applicable taxes at checkout where required. You are responsible for any taxes not collected at checkout.

Usage limits

Each plan includes specific usage quotas. Quotas are hard caps: when you reach the cap, the Service will stop processing further requests on that plan until your next billing cycle begins or you upgrade. Unused quota does not roll over.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate mid-cycle cancellations. You retain access to paid features until the end of the period.

Refunds

All sales are final. Refunds are granted at our sole discretion on a case-by-case basis. Nothing in this section creates an entitlement to a refund.

Price changes

We may change our prices from time to time. We will provide at least 30 days' notice of price increases affecting your subscription, sent to the email address on your account. Continued use of the Service after the effective date constitutes acceptance of the new price; if you do not agree, you may cancel before the change takes effect.

5. Acceptable Use

This section applies to the Service — the website, the Backend, our API, and our infrastructure. Your rights with respect to the Plugin itself are governed by Section 6.

You agree not to, and not to permit anyone else to:

Use the Backend or our API to power any product, service, feature, or tool other than the Smart Notes Plugin as distributed by us;
Use the Backend or our API to obtain generative AI services for any purpose unrelated to generating Anki card content through the Plugin;
Resell, sublicense, or redistribute access to the Service, or make the Service available to third parties on a service-bureau basis;
Circumvent, disable, or interfere with any usage caps, rate limits, authentication, billing controls, or other access-control mechanisms;
Automate or script interactions with the Service beyond the intended use of the Plugin, or exceed documented rate limits;
Reverse engineer, decompile, or attempt to derive source code, models, weights, prompts, or trade secrets of the Backend, our infrastructure, or any service we use to provide the Service;
Scrape, crawl, or harvest data from our website or Service except as permitted by our robots.txt;
Use the Service to generate, store, or distribute content that is unlawful, infringing, defamatory, harassing, sexually explicit involving minors, violent, or that violates the terms of any third-party AI provider;
Use the Service to violate the rights of any person, including intellectual property, privacy, and publicity rights;
Use another person's account, share your credentials, or misrepresent your identity;
Introduce malware, viruses, or any code designed to interfere with the Service;
Use the Service in a manner that overloads, disrupts, or impairs its operation.

We may investigate suspected violations and take action, including suspending or terminating your account, without notice.

6. Plugin License

The Smart Notes Anki plugin is distributed under the GNU General Public License, version 3 (GPL v3). A copy of the license is included with the Plugin source. Nothing in these Terms limits, restricts, or supersedes any rights granted to you under the GPL with respect to the Plugin itself — you remain free, under the GPL, to run, study, modify, and redistribute the Plugin's source code.

For clarity:

The Plugin's source code is licensed under the GPL v3.
The Backend, API, website, servers, infrastructure, and any proprietary services used to provide the Service are not licensed under the GPL and remain our proprietary property, subject to Section 9.
The Smart Notes name, the "Smart Notes" and "Anki Smart Notes" marks, our logos, and our trade dress are our trademarks. The GPL does not grant any trademark rights.

Use of the Service requires an account and a valid subscription or active free trial. Your GPL rights in the Plugin do not entitle you to free or unlimited use of the Backend.

7. Your Content

You retain ownership of the card fields, prompts, and other content you submit to the Service ("Your Content"). You grant Rosebud Labs a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, analyze, and otherwise use Your Content for the purpose of operating, maintaining, providing, debugging, securing, and improving the Service, generating usage analytics, and complying with legal obligations.

We will not use Your Content or the Output (defined below) to train AI models.

Our handling of Your Content is further described in our Privacy Policy. You represent that you have all rights necessary to submit Your Content and that doing so does not violate any law or third-party right.

8. AI-Generated Output

Content generated by AI models in response to Your Content ("Output") is yours, to the extent we have rights in it to transfer. We make no claim of ownership over Output.

You acknowledge that:

Output is produced by machine-learning systems and may be inaccurate, incomplete, biased, offensive, or otherwise unsuitable;
Output is not professional advice, and the Service is not a substitute for medical, legal, financial, or other professional judgment;
You are solely responsible for reviewing Output before relying on it or sharing it;
The same or similar Output may be generated for other users based on similar inputs.

You agree not to represent Output as professional advice or as the product of human authorship where doing so would be deceptive.

9. Intellectual Property

Except for the Plugin source code (Section 6) and Your Content and the Output (Sections 7 and 8), all right, title, and interest in and to the Service — including the Backend, website, software, designs, content, and the Smart Notes marks — are and will remain the exclusive property of Rosebud Labs and its licensors.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal use of the Plugin with Anki. All rights not expressly granted are reserved.

Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, with no obligation to you.

10. Third-Party Services and Anki

The Service relies on third-party providers, including AI model providers, a payment processor, analytics and error-monitoring tools, and cloud infrastructure. Our use of these providers is described in the Privacy Policy. We are not responsible for the availability, performance, acts, or omissions of third-party providers. Your use of the Service is also subject to the applicable terms of those providers, including the usage policies of the AI providers whose models generate Output.

Smart Notes is an independent product. We are not affiliated with, endorsed by, or sponsored by Ankitects Pty Ltd, the Anki project, AnkiWeb, or their contributors. "Anki" is a trademark of its respective owner and is used here only to identify the software with which the Plugin is designed to work. Your use of Anki itself is governed by its own license and terms, which we do not control.

11. Disclaimers

THE SERVICE, INCLUDING ALL OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, or error-free; that Output will be accurate, complete, appropriate, or suitable for any purpose; that data you submit will be preserved without loss (you are responsible for backing up your Anki decks); or that defects will be corrected on any particular timetable.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, we disclaim warranties to the fullest extent permitted.

12. Limitation of Liability

To the maximum extent permitted by law:

Rosebud Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, or cost of substitute services, arising out of or relating to these Terms or your use of the Service, regardless of the theory of liability and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

These limitations apply even if any remedy fails of its essential purpose.

Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be excluded or limited by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Rosebud Labs and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to Your Content, your use or misuse of the Service, your violation of these Terms, or your violation of any law or any third party's rights, including intellectual property, privacy, and publicity rights. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

14. Termination

You may terminate these Terms at any time by cancelling your subscription and discontinuing use of the Service.

We may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, if we believe in good faith that you have violated these Terms, that your use poses a risk to us or to other users, or that termination is required by law.

Upon termination, your right to use the Service immediately ends, and we may delete your account data in accordance with our Privacy Policy. Sections that by their nature should survive — including Sections 7 (license grants), 8 (Output), 9 (IP), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 17 (Miscellaneous) — will survive termination. Termination by us does not entitle you to a refund except as required by law.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you and we consent to the personal jurisdiction of those courts. Before filing suit, you agree to first contact us at support@smart-notes.xyz and attempt to resolve the dispute informally for at least 30 days.

If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction with mandatory local consumer-protection laws, nothing in these Terms deprives you of the benefit of those laws, and you may also bring claims in the courts of your country of residence.

16. Changes to These Terms

We may revise these Terms from time to time. When we do, we will revise the "Last updated" date at the top. If the changes are material, we will provide at least 30 days' notice — by email to the address on your account, by in-app notice, or by posting to our website. Non-material changes take effect immediately upon posting. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel your subscription before the effective date.

17. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Rosebud Labs regarding the Service and supersede any prior agreements.
Severability. If any provision is held invalid, the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any right or provision is not a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
Notices. We may give you notice by email to the address on your account or by posting on the Service. You may give us notice at the contact address below.
Relationship. These Terms do not create any partnership, joint venture, employment, or agency relationship.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Headings. Section headings are for convenience only and do not affect interpretation.
